\nFURTHER DELAY IN DESPATCH OF CIRCULARS
\nAs additional time is required for CGL to finalise
\ncertain financial information and for LSG to
\nfinalise the letter from its independent financial
\nadviser for inclusion in their respective Circulars,
\neach of LSG and CGL will apply to the Stock Exchange
\nfor a further extension of deadline for despatch
\nof its Circular to on or before 29th April, 2014.
\nINTRODUCTION
\nReference is made to two joint announcements made
\nby Lai Sun Garment (International) Limited (“LSG”)
\nand Crocodile Garments Limited (“CGL”) both dated
\n4th March, 2014 (“Announcements”) in relation to
\nthe disposal of 314,800,000 shares in CGL by LSG
\n(“Disposal”) and the joint development of the
\nproperty at 79 Hoi Yuen Road, Kwun Tong by LSG and
\nCGL (“Joint Development”), respectively, and a
\njoint announcement (“Delay Announcement”) made by
\nLSG and CGL dated 27th March, 2014 in relation to
\nthe delay in despatch of the Circulars (as defined
\nin the Announcements). Unless the context requires
\notherwise, terms defined herein shall have the same
\nrespective meanings adopted in the Announcements.
\nFURTHER DELAY IN DESPATCH OF CIRCULARS
\nAs mentioned in the Delay Announcement, each of LSG
\nand CGL has applied to the Stock Exchange for a
\nwaiver from strict compliance with Rules 14.38 and
\n14A.49 of the Listing Rules and an extension of
\ndeadline for despatch of its Circular to on or before
\n24th April, 2014. As CGL requires additional time
\nto finalise certain historical financial
\ninformation relating to the Crocodile Building, and
\nLSG requires additional time to finalise the letter
\nfrom its independent financial adviser with regard
\nto the basis and assumptions for construction costs,
\nfor inclusion in their respective Circulars in
\naccordance with the Listing Rules, each of LSG and
\nCGL will make an application to the Stock Exchange
\nfor a further extension of deadline for despatch
\nof its Circular to on or before 29th April, 2014.
