ANNOUNCEMENT
This statement is made at the request of The Stock Exchange of Hong Kong
Limited (“Stock Exchange”).
We have noted the recent increases in price and trading volume of the
shares of the Company
The Directors of the Company wish to refer to the announcement dated 8th
March, 2014 of Lai Fung Holdings Limited (“LFH”), and the announcement
on the website of the Stock Exchange concerning suspension of trading in
LFH shares today, pending the issue of an announcement by LFH involving
the issue of new shares in LFH (the “Proposed Transaction”).
The Directors of the Company note that details of the Proposed
Transaction have not yet been announced by LFH. The Directors wish to
inform shareholders that should the Proposed Transaction materialise, it
would have certain dilutive effect on the Company’s interest in LFH. The
Company currently holds a 45.13% interest in LFH. The Company will keep
shareholders informed of progress in this matter as appropriate.
We confirm that, save for the matters disclosed in three joint
announcements of the Company all dated 4th March, 2014 with (1)
Crocodile Garments Limited (“CGL”) in relation to the sale of
314,800,000 shares of CGL; (2) CGL in relation to development of Kwun
Tong property; and (3) LFH in relation to sale of Assetop Asia Limited,
there are no negotiations or agreements relating to intended
acquisitions or realizations which are discloseable under rule 13.23,
neither is the Board aware of any matter discloseable under the general
obligation imposed by rule 13.09, which is or may be of a
price-sensitive nature.
